Managing Counsel - Global Compliance & Ethics @ CNH Industrial

In her work for CNH Industrial, the world’s third-largest capital goods maker and second largest manufacturer of farming equipment, Gwen is responsible for providing global leadership and counsel related to compliance and regulatory matters from the Office of the Chief Compliance Officer in Burr Ridge, IL. She has direct accountability for the company’s global compliance program including corruption prevention and third party due diligence programs and also serves as counsel for global trade compliance providing legal advice on issues related to import, export (both EAR/ITAR), OFAC sanctions and anti-boycott compliance and enforcement.  Specific subject matter expertise includes corporate compliance program structure and governance, compliance helpline management, cross-border investigations, risk assessment and mitigation, compliance strategy, policy development and compliance education. Gwen’s practice also includes providing counsel on other regulatory matters as well as the structure of intricate import, export and compliance strategies in international acquisitions and business combinations. She has worked on deal teams conducting due diligence, developing global trade strategy, negotiating compliance terms and policy, and conducting compliance and anti-corruption training for deals in China, India, Australia, Europe, Mexico and South America.

She is a member of the American Bar Association’s (“ABA”) International Law Section where she serves on the Steering Committee of the Export Controls & Sanctions Committee, and serves as a member of the Customs Law Committee, the Corporate Counsel Committee, the International M&A and JV Committee, and the Anti-Corruption Committee. Gwen is also co-chair of the Compliance and Ethics Council of the Manufacturer’s Alliance for Productivity and Innovation (MAPI), is a member of, and sits on the editorial board for, the Society of Corporate Compliance and Ethics (SCCE).

A frequent author, Gwen writes about regulatory compliance matters – most recently contributing chapters about Human Trafficking Prevention and Supply Chain Regulation for the Society of Corporate Compliance and Ethics (“SCCE”) publication “The Complete Compliance and Ethics Manual, Fourth Edition”.  She has also been a contributing author to the ABA’s International Law News and both a contributing author and editor of the ABA International Section’s Year in Review publications.

Gwen has been invited to speak on various international trade, corruption prevention and corporate compliance matters by the Department of Commerce’s U.S. Commercial Service, the American Association of Exporters and Importers (AAEI), the SCCE, multiple bar associations and various legal conference producers.

Prior to her position with CNH Industrial, Gwen served as Senior Counsel for International Trade and Compliance Manager for Navistar; as VP, General Counsel & Secretary for a logistics firm (NAL Worldwide); and as in-house counsel for two other multinational manufacturers (Federal Signal Corporation and Hartmarx Corporation). She is a graduate of DePaul University School of Law and the University of Wisconsin – Madison. Gwen lives in Oak Park, IL, with her two children.
